Terms & Conditions

Welcome to Contenu Agency (“we”, “us”, “our”). These Terms & Conditions govern your use of our website https://www.contenuagency.com/ (“Website”) and the provision of our services. By accessing or using the Website or engaging our services, you confirm that you accept these Terms & Conditions and agree to abide by them

1. Definitions

  • Client means any person or business who engages our services.

  • Services means the content, social media, paid ads, design, website, consulting work or any other marketing/digital work we perform.

  • Agreement means the contract between Contenu and the Client for Services, including the scope, deliverables, fees and schedule.

2. Scope of Services

  • We will provide the Services as described in proposals, quotes or service agreements.

  • Changes to scope must be agreed in writing. Additional work may incur additional fees.

3. Client Responsibilities

  • The Client must provide all necessary materials, information and approvals in a timely manner.

  • The Client ensures that any content they supply (e.g. images, data, copy) does not violate any third-party rights.

4. Fees, Payment & Refunds

  • All fees are as agreed in the proposal or service agreement. Unless otherwise stated, we invoice in USD for international clients and INR for Indian clients. 

  • Payments are due within 7 days of the invoice. Late payments may incur interest or a delay in the provision of services.

  • Refunds are handled on a case-by-case basis and only for unfulfilled deliverables, where agreed.

5. Delivery, Timelines & Delays

  • We aim to deliver work according to the agreed schedule but are not liable for delays caused by the Client or by unforeseen circumstances beyond our control.

  • The Client agrees to respond to review and revision requests within a reasonable time to avoid project delays.

6. Intellectual Property

  • Upon full payment, you (the Client) receive rights to use the deliverables created specifically for you.

  • We reserve the right to display work in our portfolio unless otherwise agreed.

  • Any third-party materials or licences used will be properly licensed and disclosed.

8. Liability Limitation

  • Both parties agree to keep confidential any non-public information shared during the project.

  • Confidential information does not include information which is in the public domain or which must be disclosed by law.

  • We provide Services “as is” and do not guarantee specific outcomes (unless explicitly promised in writing).

  • We are not liable for any indirect, incidental, or consequential losses, including loss of profits, data, or business opportunities.

  • Our total liability shall be limited to the amount paid by the Client for the relevant Services.

9. Termination

  • Either party may terminate the Agreement upon reasonable notice if the other party materially breaches its obligations and fails to remedy the breach within 30 days.

  • On termination, the Client must pay for all work done to date, and we will deliver work completed up to the termination date.

10. Revisions & Approvals

  • We include a set number of revisions in each proposal; beyond that, extra revisions may be charged.

  • The Client agrees to approve or decline work in writing; delays in approval may affect overall timelines.

11. Use of Third-Party Services & Links

  • Our Services may require use of third-party tools, platforms or services; we will endeavour to use reliable ones, but cannot guarantee their uninterrupted availability.

  • The Website may contain links to external websites. We are not responsible for the content, privacy policies, or practices of those sites.

12. Modifications to Terms

  • We may revise these Terms & Conditions at any time. The updated version will be posted on the Website with a revised “last updated” date. Continued use of our Services implies acceptance of the updated terms.

13. Governing Law & Dispute Resolution

  • These Terms & Conditions are governed by the laws of India unless otherwise agreed.

  • Any dispute arising under or in connection with these Terms will be resolved amicably where possible, or finally by arbitration or courts in Raipur, Chhattisgarh, India.
